UpHeld Terms of Service
These terms are an agreement between you and Upheld Corp ("we," "us") governing your use of the UpHeld app. By creating an account or using UpHeld, you agree to them. Questions: jayden@upheldcorp.com.
1. What UpHeld is
UpHeld helps you build habits by verifying tasks with a photo. Verification photos are analyzed by AI and immediately discarded; only the verification outcome is kept. UpHeld optionally includes an enforcement feature that can temporarily lock your device when a task goes unverified — described in Section 5. UpHeld also offers "Reminder + open" tasks, which open an app or link of your choosing and are marked done by you rather than verified; they are shown distinctly, do not earn verification badges, and never engage the enforcement feature.
2. Your account
- You must be at least 13 years old to create an account. Accounts for younger users do not exist yet; a parent-managed family plan is planned for a future release.
- You are responsible for keeping your login credentials secure and for activity on your account.
- Provide accurate information at sign-up, including your real birthdate.
3. Verification and fair play
- Verification decisions (approvals, streaks, badges) are made by our servers and are final within the app's stated rules (for example, a missed check-in can be redeemed by verifying within 24 hours of its original due time).
- Do not attempt to deceive the verification system, tamper with the app, probe or attack our infrastructure, or interfere with other users.
- Streaks and badges are cosmetic features of the service. They have no monetary value and may be adjusted if granted in error.
4. Subscriptions and billing
- Paid plans are billed by Apple through your App Store account as auto-renewing monthly subscriptions. Prices are shown in the app at the point of purchase.
- Manage or cancel your subscription in your App Store subscription settings. Deleting the app does not cancel a subscription. Refunds are handled by Apple under Apple's policies.
- A free in-app trial, where offered, converts as described at sign-up; purchasing a plan during a trial ends the trial immediately.
- If you downgrade or a subscription lapses, tasks over your new plan's limit are frozen — not deleted — and unfreeze if you upgrade again. Monthly skip quotas adjust to your current plan.
5. The device-lock (enforcement) feature
- Enforcement is optional and off by default. Enabling it requires granting the OS screen-time permission (on iOS, Family Controls under individual authorization) and can be turned off in Settings at any time, except that turning a task off cannot lift a lock that is already engaged.
- Locks are time-limited and always release automatically. The phone app, emergency calling, and UpHeld itself are never blocked.
- Waiting out locks instead of verifying can increase the length of later locks, up to a stated cap, resetting weekly.
- Emergency skips lift an engaged lock immediately and draw from your plan's monthly quota.
- You accept that voluntarily enabling a feature that limits access to your own device may be inconvenient by design. Do not enable enforcement if you may need unrestricted access to your device (for example, for work, caregiving, or medical reasons) during your task deadlines.
- Revoking permissions or otherwise tampering with enforcement may be recorded and surfaced in the app.
6. Plan limits
Each plan sets limits such as the number of concurrent tasks, monthly emergency skips, and available schedule types. Current limits are shown in the app and may change; changes will not retroactively delete your data — existing tasks over a limit freeze rather than disappear, and existing schedules are grandfathered.
7. Acceptable use
Do not use UpHeld to break the law, infringe others' rights, or submit unlawful content (including in verification photos or support messages). We may suspend or terminate accounts that violate these terms or abuse the service, with notice where practicable.
8. Your content
You retain rights to the content you submit. You grant us the limited license needed to operate the service — for example, transmitting a verification photo to our AI provider for the moment of analysis. Verification photos are not stored, so no ongoing license over them exists.
9. Privacy
Our Privacy Policy describes what we collect and how we use it. It is part of these terms.
10. Disclaimers
UpHeld is a habit tool, not a medical, psychological, or safety device. AI verification can make mistakes. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. We do not warrant that the service will be uninterrupted or error-free.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPHELD CORP WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
12. Termination
You may stop using UpHeld and delete your account at any time. We may suspend or terminate the service or your account for violation of these terms, legal requirement, or discontinuation of the service; if we discontinue paid features you have paid for, Apple's refund policies apply.
13. Changes to these terms
We may update these terms as the service evolves. The current version and its effective date are always posted at this page; material changes will be communicated in the app. Continued use after changes take effect means you accept them.
14. Governing law
These terms are governed by the laws of the State of Michigan, United States, excluding its conflict-of-laws rules.
